These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Delios AI, Inc. ("Delios," "we," "us," or "our") governing your access to and use of the Delios website (delios.ai), applications, and services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Service availability and features may vary by subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.
Consumer subscriptions are billed monthly or annually as selected at purchase. Prices are listed on our website and may be updated with 30 days' notice to existing subscribers.
Enterprise subscriptions are governed by a separate Enterprise Agreement or Order Form. In the event of a conflict between these Terms and an Enterprise Agreement, the Enterprise Agreement controls.
Free trials, if offered, convert to paid subscriptions at the end of the trial period unless cancelled. We will notify you before the trial ends.
Monthly subscriptions may be cancelled at any time. Annual subscriptions are eligible for a pro-rated refund within the first 30 days. After 30 days, annual subscriptions are non-refundable but remain active through the end of the billing period.
You agree not to use the Services to:
The Services, including all software, algorithms, models, interfaces, content, trademarks, and documentation, are owned by Delios AI, Inc. and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use them in accordance with these Terms.
You retain ownership of any data you submit to the Services. By using the Services, you grant Delios a limited license to process your data solely for the purpose of providing and improving the Services.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. For enterprise customers, data processing is additionally governed by a Data Processing Agreement (DPA) executed between Delios and the enterprise customer.
We strive to maintain 99.9% uptime for our Services. Enterprise customers may be eligible for a Service Level Agreement (SLA) with defined uptime commitments and service credits. We are not liable for downtime caused by circumstances beyond our reasonable control, including third-party service failures, natural disasters, or government actions.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
While our AI-powered detection systems are designed to identify threats with high accuracy, we do not guarantee that the Services will detect all threats, prevent all fraud, or operate without interruption or error. Identity protection services supplement, but do not replace, reasonable security practices.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELIOS AI, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO DELIOS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the limitation or exclusion of certain warranties or liabilities. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless Delios AI, Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
Either party may terminate these Terms at any time. You may cancel your account through the account settings or by contacting us. We may suspend or terminate your access if you violate these Terms, with notice where practicable.
Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days following termination, during which you may request an export. After 30 days, your data will be permanently deleted.
Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Delaware, and the arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.
You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
We may update these Terms from time to time. We will provide notice of material changes by posting the updated Terms on this page and, for registered users, by email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
